I. PEMiG CMF Asset Tokenization Platform – Terms of Service

1. Introduction and Acceptance:

• By accessing or using the PEMiG CMF platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.
• You must be of legal age and capacity to enter into this agreement.

2. Description of Services:

• PEMiG CMF facilitates investments in African SMEs by tokenizing their equity or loan assets.
• Services include tokenization, asset pooling, investor management, and (eventually) secondary market trading.

3. User Registration and Account Security:

• Registration requires providing accurate information (name, email, password, KYC/AML documentation).
• You are responsible for maintaining account security and for all activities under your account.

4. Investment and Trading Terms:

• Investment involves purchasing tokens representing ownership in a pool of tokenized assets.
• Returns are generated from SME profits (equity tokens) or loan repayments (loan-backed tokens).

5. Fees and Payments:

• Fees apply to both SMEs (tokenization fees) and investors (transaction fees, secondary market fees).

6. User Conduct and Prohibited Activities:

• You agree to use the platform lawfully and ethically.
• Prohibited activities include fraud, money laundering, market manipulation, and any violation of applicable laws or regulations.

7. Intellectual Property:

• All intellectual property rights in the platform belong to FINECO FWS LLP (PEMiG CMF).

8. Limitation of Liability and Disclaimer:

• PEMiG CMF is not liable for any losses or damages arising from your use of the platform or investment decisions.

9. Termination of Access:

• PEMiG CMF may terminate your access for violating these Terms of Service.

10. Governing Law and Dispute Resolution:

• These Terms of Service are governed by the laws of Kenya.
